Anti-Circumvention Policy
Version: 1.0.0 (draft) · Applies to: Braiders
Incorporated by reference into the Braider Independent Contractor Agreement (§23, §13). It protects Zounya's investment in connecting you with Clients, while preserving your freedom to run your own business.
What you remain free to do
• Operate your own business, work with other platforms, serve your own pre-existing clients, and provide services through other lawful channels.
What is not allowed
For any Client introduced to you, discovered by you, or served by you through the Platform, you agree not to solicit, arrange, perform, accept payment for, or encourage off-platform services that are the same as or substantially similar to services available through the Platform — during your use of the Platform and for twelve (12) months after your last Booking or Platform-facilitated interaction with that specific Client.
This includes asking a Client to pay in cash or book directly to avoid Zounya.
Consequences
• Liquidated damages per proven breach (the greater of $500 or the commission and service fees Zounya would reasonably have earned on the diverted services), to the extent permitted by law, plus possible suspension or termination.
• Zounya may seek injunctive relief for breaches that cause irreparable harm.
